1. Acceptance of Terms
By accessing the DonRight platform, you agree to be bound by these Terms of Service and all applicable laws and regulations.
2. Description of Services
DonRight provides digital growth tools including SEO audits, CRM lead management, and reputation automation for service businesses.
3. Informational Nature of Audits
The 'Free SEO Audit' tool is provided for informational and educational purposes only. Results are snapshots and not a substitute for professional technical consultation.
4. Intellectual Property (IP) Ownership
DonRight Agency owns all rights to the report formats, proprietary grading algorithms, and the 'Dona' AI logic. Users are granted a limited license for personal use.
5. Restrictions on Use
You may not copy, modify, distribute, or reverse-engineer any portion of the platform or the audit report structures for commercial gain.
6. Prohibited Conduct: Scraping
Automated scraping, crawling, or data harvesting from our audit tool or public profiles is strictly prohibited and will result in an immediate IP ban.
7. Prohibited Content: Malicious URLs
Users are forbidden from submitting URLs containing malware, phishing content, or illegal material for analysis. We reserve the right to report such activity.
8. Account Registration
To access the full CRM features, you must provide accurate and complete information. You are responsible for the security of your account credentials.
9. Subscription Governance
SaaS subscriptions are billed in advance. Failure to maintain an active subscription may result in the suspension of automated review funnels.
10. Pricing & Modifications
We reserve the right to modify pricing for any service with 30 days' notice. Existing contracts will be honored until the end of their current term.
11. Lead Pool Usage
Leads generated through our public tools are stored in the Agency Pool. We reserve the right to vet leads before conversion to client status.
12. Third-Party Integrations
We integrate with services like Google and Facebook. Your use of these integrations is subject to their respective terms and our API limitations.
13. Platform Uptime
While we strive for 99.9% uptime, we do not guarantee uninterrupted access to the platform due to maintenance or third-party infrastructure failures.
14. Termination of Service
We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms.
15. Limitation of Liability
DonRight Agency shall not be liable for any indirect or consequential damages resulting from the use or inability to use our tools.
16. Indemnification
You agree to indemnify DonRight Agency from any claims arising out of your misuse of the platform or violation of these Terms.
17. Disclaimer of Warranties
Services are provided 'As-Is' without any warranty, express or implied, regarding their accuracy or fitness for a particular purpose.
18. Governing Law
These terms are governed by the laws of the jurisdiction in which DonRight Agency is registered, without regard to conflict of law principles.
19. Severability
If any provision of these terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
20. Entire Agreement
These Terms constitute the entire agreement between you and DonRight Agency regarding the use of our services.
